1. PURPOSE
This Intellectual Property Policy (“IP Policy”) explains the ownership, permitted use, licensing and protection of intellectual property associated with:
- the Adsyntra AI website;
- Adsyntra's Services;
- marketing campaigns;
- websites and landing pages;
- advertising creatives;
- CRM systems;
- automation workflows;
- AI agents and chatbots;
- software and integrations;
- strategy and consulting;
- reports and documentation;
- Client materials; and
- Deliverables created during Client engagements.
This Policy should be read together with Adsyntra's applicable:
- Client Service Agreement / Master Service Agreement (“MSA”);
- Statement of Work (“SOW”);
- Terms & Conditions;
- Data Processing Agreement (“DPA”);
- Non-Disclosure & Confidentiality Agreement (“NDA”); and
- other applicable written agreements.
Where a Client-specific written agreement expressly provides different intellectual-property terms, that agreement shall govern to the extent of the relevant conflict.
2. ADSYNTRA AI
“Adsyntra”, “Adsyntra AI”, “we”, “us” and “our” refer to the business operated by:
Mohit Lakhera, Sole Proprietor Jabalpur, Madhya Pradesh, India.
References to intellectual property belonging to “Adsyntra AI” in this Policy refer to intellectual property owned, licensed or lawfully used by Mohit Lakhera in connection with the Adsyntra AI business, as applicable.
3. INTELLECTUAL PROPERTY
For purposes of this Policy, “Intellectual Property” or “IP” may include rights relating to:
- copyright;
- trademarks;
- service marks;
- trade names;
- logos;
- domain names;
- designs;
- software;
- source code;
- object code;
- databases;
- documentation;
- proprietary methodologies;
- confidential know-how;
- trade secrets;
- workflows;
- automation systems;
- original creative works; and
- other legally protectable intellectual property.
The existence and scope of a particular intellectual-property right depend on applicable law.
4. ADSYNTRA PRE-EXISTING INTELLECTUAL PROPERTY
Unless expressly agreed otherwise in writing, Adsyntra retains all applicable rights, title and interest in intellectual property created, acquired or developed independently of a particular Client engagement.
This may include:
- marketing frameworks;
- advertising methodologies;
- lead-generation systems;
- sales frameworks;
- internal processes;
- operating procedures;
- strategy frameworks;
- templates;
- reusable designs;
- reusable components;
- checklists;
- documentation;
- reporting structures;
- automation frameworks;
- workflow structures;
- CRM architecture;
- reusable integrations;
- software;
- scripts;
- code libraries;
- internal tools;
- proprietary dashboards;
- technical configurations;
- algorithms;
- know-how;
- research methodologies;
- optimisation methods;
- AI workflows;
- AI-agent architectures;
- prompt structures;
- prompt libraries;
- system instructions;
- internal AI configurations; and
- other proprietary or reusable materials.
These are referred to collectively as “Adsyntra Background IP”.
5. NO AUTOMATIC TRANSFER OF BACKGROUND IP
The fact that Adsyntra Background IP is:
- used in a Client project;
- configured for a Client;
- demonstrated to a Client;
- embedded within a Deliverable; or
- used to produce a Deliverable
does not automatically transfer ownership of that Background IP to the Client.
Where necessary for the Client to use a paid Deliverable, Adsyntra may grant the Client an appropriate licence to the relevant Background IP as provided in the applicable MSA/SOW.
6. CLIENT PRE-EXISTING INTELLECTUAL PROPERTY
The Client retains ownership of intellectual property that the Client owned, licensed or lawfully controlled before providing it to Adsyntra.
This may include:
- business names;
- trademarks;
- logos;
- photographs;
- videos;
- product images;
- written content;
- brand guidelines;
- customer databases;
- proprietary software;
- designs;
- business documents;
- training materials;
- proprietary processes; and
- other Client materials.
Such materials are referred to as “Client Materials”.
Providing Client Materials to Adsyntra does not transfer their ownership to Adsyntra.
7. CLIENT LICENCE TO ADSYNTRA
The Client grants Adsyntra a limited, non-exclusive licence to access, reproduce, modify, adapt, display, transmit and otherwise use Client Materials only to the extent reasonably necessary to:
- provide the agreed Services;
- create Deliverables;
- manage campaigns;
- develop websites or landing pages;
- implement CRM/automation systems;
- operate AI workflows;
- provide technical support; and
- perform other authorised contractual obligations.
This licence lasts only for as long as reasonably necessary for the authorised purpose, subject to applicable contractual, legal, backup and record-retention requirements.
8. CLIENT RESPONSIBILITY FOR PROVIDED MATERIALS
The Client represents that it has sufficient rights, permissions or licences to provide Client Materials to Adsyntra and to authorise their use for the agreed Services.
The Client should not instruct Adsyntra to use:
- copyrighted material without permission;
- unlicensed photographs;
- unauthorised logos;
- infringing trademarks;
- pirated software;
- unlawfully copied content;
- unlicensed fonts or stock assets; or
- other material that the Client is not legally entitled to use.
Adsyntra may refuse to use material where it reasonably believes the requested use may infringe third-party rights or violate applicable law.
9. CLIENT-SPECIFIC DELIVERABLES
“Client-Specific Deliverables” means final materials created specifically for a Client and expressly identified as transferable Deliverables in the applicable SOW.
Depending on the project, these may include:
- final advertising creatives;
- Client-specific copy;
- custom landing-page content;
- custom website content;
- final design assets;
- reports;
- documentation;
- Client-specific configurations;
- agreed custom workflows; and
- other expressly identified Deliverables.
Ownership shall be determined according to the applicable MSA/SOW and this Policy.
10. OWNERSHIP AFTER FULL PAYMENT
Unless the applicable SOW expressly states otherwise, after Adsyntra receives full payment of all amounts due for the relevant work, the Client shall receive ownership of the agreed final Client-Specific Deliverables that are expressly designated as transferable.
The transfer does not include:
- Adsyntra Background IP;
- third-party intellectual property;
- reusable components;
- generic templates;
- internal tools;
- proprietary methodologies;
- internal AI prompts;
- prompt libraries;
- reusable automation frameworks;
- software libraries;
- source code not expressly included;
- development tools;
- internal working files; or
- materials expressly excluded by the SOW.
11. OWNERSHIP BEFORE FULL PAYMENT
Unless otherwise required by applicable law or agreed in writing, ownership of transferable Client-Specific Deliverables shall not transfer until the applicable fees have been paid in full.
Before full payment, the Client may review drafts or previews for approval purposes but shall not acquire ownership merely by receiving or viewing them.
Adsyntra may withhold transfer of final Deliverables where amounts relating to those Deliverables remain lawfully outstanding.
12. DRAFTS AND UNUSED CONCEPTS
Unless expressly agreed otherwise, the Client's ownership of final Deliverables does not include:
- rejected concepts;
- unused designs;
- unused copy;
- draft materials;
- alternative concepts;
- working files;
- internal notes;
- research documents;
- internal strategy documents; or
- preliminary versions.
Such materials remain Adsyntra's property or the property of their respective rights holders, as applicable.
13. SOURCE FILES AND EDITABLE FILES
The delivery of a final asset does not automatically require Adsyntra to provide:
- source files;
- editable design files;
- raw project files;
- development environments;
- internal documentation;
- source code;
- prompt libraries;
- internal automation templates; or
- proprietary configuration files.
Whether such materials are included shall be determined by the applicable SOW.
Where source/editable files are specifically included as paid Deliverables, their ownership or licence status shall be stated in the applicable SOW.
14. WEBSITE AND LANDING-PAGE PROJECTS
For website or landing-page projects, ownership may be divided between:
Client-Owned Components
After full payment, these may include:
- custom Client content;
- Client-specific graphics;
- agreed custom layouts;
- agreed Client-specific design elements; and
- other transferable Deliverables.
Adsyntra-Owned Components
These may include:
- reusable code;
- frameworks;
- templates;
- internal libraries;
- reusable sections;
- development processes;
- internal tools;
- proprietary integrations; and
- reusable technical components.
Third-Party Components
These may include:
- WordPress;
- plugins;
- themes;
- fonts;
- stock assets;
- APIs;
- libraries;
- hosting systems;
- SaaS products; and
- other licensed technologies.
Third-party components remain subject to their respective licences.
15. SOFTWARE AND CODE
Where Adsyntra develops software, scripts, code or technical integrations, ownership shall depend on the applicable SOW.
Unless expressly identified as a transferable Client-specific Deliverable:
- reusable source code;
- libraries;
- frameworks;
- utility scripts;
- internal APIs;
- reusable integrations;
- development tools; and
- generic technical components
remain Adsyntra Background IP.
Where custom code is transferred to a Client, third-party and open-source components remain subject to their respective licences.
16. AUTOMATION WORKFLOWS
Automation projects may combine:
- Client-specific configurations;
- Adsyntra Background IP;
- third-party automation platforms;
- APIs;
- software;
- templates; and
- reusable workflow structures.
The Client may own its agreed Client-specific configuration after full payment where specified in the SOW.
However, Adsyntra retains ownership of its reusable automation logic, frameworks, templates, methodologies and know-how unless expressly transferred in writing.
17. AI AGENTS AND AI SYSTEMS
AI-related Deliverables may involve several separate layers of intellectual property.
These may include:
- Client-provided information;
- Client-specific knowledge bases;
- prompts;
- system instructions;
- workflows;
- automation logic;
- software integrations;
- third-party AI models;
- generated outputs; and
- Adsyntra proprietary methodologies.
Ownership shall therefore be determined according to the relevant component rather than assuming the entire AI system belongs exclusively to one Party.
18. CLIENT AI DATA AND KNOWLEDGE BASES
The Client retains ownership of Client Materials supplied for use in an AI agent or AI system.
This may include:
- product information;
- service information;
- FAQs;
- policies;
- sales scripts;
- business documentation;
- proprietary knowledge;
- customer-support material; and
- other Client-provided information.
Providing such information to Adsyntra does not transfer its ownership.
Personal Data contained within such systems is additionally governed by the applicable DPA and privacy requirements.
19. AI PROMPTS AND SYSTEM INSTRUCTIONS
Unless expressly transferred in writing, Adsyntra retains applicable rights in proprietary:
- prompt frameworks;
- prompt templates;
- system instructions;
- orchestration methods;
- prompt libraries;
- AI workflow structures;
- evaluation methods;
- optimisation processes; and
- reusable AI configurations
developed independently or used across multiple engagements.
A Client-specific prompt expressly identified as a transferable Deliverable may be treated differently under the applicable SOW.
20. AI-GENERATED CONTENT
AI-generated content may be subject to different intellectual-property treatment depending on:
- applicable law;
- level of human authorship or contribution;
- relevant AI provider terms;
- source materials;
- third-party rights; and
- the particular output.
Accordingly, Adsyntra does not represent that every purely AI-generated output automatically qualifies for exclusive copyright or other intellectual-property protection.
Where AI-assisted content is delivered to a Client, Adsyntra shall transfer or license whatever rights Adsyntra lawfully holds in the relevant Client-specific Deliverable according to the applicable SOW.
21. THIRD-PARTY AI MODELS
Third-party AI models and platforms remain the property of their respective owners/licensors.
A Client does not acquire ownership of an underlying AI model merely because the model is integrated into a Client system.
Continued use may depend on:
- provider availability;
- subscription fees;
- API charges;
- provider terms;
- technical restrictions; and
- licensing requirements.
22. ADVERTISING CAMPAIGNS
Where Adsyntra creates advertising campaigns, the Client may receive rights to agreed final Client-specific creative assets after full payment.
However, Adsyntra may retain ownership of:
- proprietary campaign frameworks;
- internal research;
- testing methodologies;
- optimisation systems;
- reusable structures;
- internal templates;
- strategic methodologies; and
- proprietary know-how.
Advertising platforms may separately retain rights under their own terms.
23. MARKETING STRATEGIES
Unless expressly sold and transferred as a standalone Client-specific Deliverable, Adsyntra retains rights in its general:
- marketing methodologies;
- frameworks;
- processes;
- strategy templates;
- campaign structures;
- lead-generation methodologies;
- conversion frameworks; and
- optimisation processes.
The Client may use recommendations and strategies provided for its own business as contemplated by the engagement.
The Client may not reproduce and commercially resell Adsyntra's proprietary frameworks as its own consulting, agency, software, training or template product without written permission.
24. CRM IMPLEMENTATIONS
A CRM implementation may include:
- Client Data;
- Client-specific configurations;
- Adsyntra workflows;
- third-party CRM software;
- automation;
- integrations;
- templates; and
- proprietary implementation methods.
The Client retains ownership of its Client Data.
Ownership of configurations and custom Deliverables shall be determined under the SOW.
The underlying CRM software remains subject to the provider's terms.
25. THIRD-PARTY INTELLECTUAL PROPERTY
Services may incorporate third-party intellectual property such as:
- software;
- plugins;
- themes;
- fonts;
- photographs;
- videos;
- stock media;
- music;
- templates;
- APIs;
- AI models;
- libraries;
- open-source software;
- SaaS platforms; and
- other licensed materials.
Such materials do not become Client property merely because they are incorporated into a Deliverable.
The Client's use remains subject to applicable third-party licence terms.
26. THIRD-PARTY LICENCE COSTS
Unless expressly included in the applicable SOW, the Client is responsible for third-party licence, subscription or usage costs required for continued operation of a Deliverable.
These may include:
- hosting;
- domains;
- premium plugins;
- SaaS subscriptions;
- API fees;
- AI usage charges;
- CRM subscriptions;
- stock licences;
- premium fonts;
- automation platforms; and
- other third-party services.
27. OPEN-SOURCE SOFTWARE
Deliverables may contain or depend upon open-source software.
Open-source components remain governed by their applicable open-source licences.
Nothing in this Policy transfers ownership of open-source software to Adsyntra or the Client beyond the rights granted by the applicable licence.
28. PORTFOLIO AND CASE-STUDY USE
Adsyntra shall not publicly use a Client's:
- name;
- logo;
- trademark;
- confidential campaign results;
- screenshots;
- testimonial;
- confidential Deliverables; or
- case-study information
for portfolio, marketing or promotional purposes without the Client's prior written permission.
Permission may be limited, conditional or withdrawn prospectively according to the agreed terms and applicable law.
29. ADSYNTRA NAME, BRAND AND LOGO
Unless expressly authorised, no person may use Adsyntra's:
- business name;
- brand identity;
- logo;
- graphics;
- proprietary visual identity; or
- confusingly similar branding
in a manner that falsely suggests endorsement, partnership, affiliation or authorisation.
Nothing on Adsyntra's website grants a trademark licence except where expressly stated.
30. WEBSITE CONTENT
Unless otherwise indicated, content created and owned by Adsyntra on AdsyntraAI.in may include:
- text;
- graphics;
- designs;
- illustrations;
- page layouts;
- videos;
- downloadable materials;
- documentation;
- marketing copy; and
- other original materials.
Such content is protected to the extent provided by applicable intellectual-property law.
Third-party content remains the property of its respective owner.
31. PERMITTED WEBSITE USE
Users may access Adsyntra's public website for legitimate personal or business evaluation purposes.
Unless permission is provided, users may not:
- republish substantial proprietary content;
- sell website content;
- copy proprietary templates;
- reproduce protected materials commercially;
- remove ownership notices;
- impersonate Adsyntra;
- create misleading copies of Adsyntra's website; or
- use Adsyntra's proprietary materials to falsely represent an affiliation.
Fair dealing, statutory exceptions and other legally protected uses remain unaffected.
32. PROHIBITED COMMERCIAL EXPLOITATION
Except where authorised by contract or applicable law, Clients and website users shall not commercially exploit Adsyntra Background IP by:
- reselling it;
- sublicensing it;
- repackaging it as their own product;
- distributing proprietary templates;
- selling Adsyntra workflows;
- selling Adsyntra prompt libraries;
- copying proprietary systems for resale;
- licensing proprietary methods to third parties; or
- otherwise commercialising protected Adsyntra materials.
33. REVERSE ENGINEERING
To the extent permitted by applicable law, users shall not reverse engineer, decompile or attempt to extract proprietary elements of Adsyntra software, automation, internal systems or protected technical Deliverables where such activity is prohibited by the applicable licence or agreement.
This clause does not restrict rights that cannot legally be excluded.
34. CONFIDENTIAL INTELLECTUAL PROPERTY
Certain intellectual property may also constitute Confidential Information.
Examples include:
- unpublished frameworks;
- internal prompts;
- source code;
- private automation logic;
- internal documentation;
- pricing systems;
- proprietary processes;
- unpublished research; and
- trade secrets.
Such information is additionally governed by the applicable NDA and confidentiality provisions of the MSA.
35. TRADE SECRETS AND KNOW-HOW
Nothing in a transfer of Client-Specific Deliverables shall be interpreted as transferring Adsyntra's underlying trade secrets, general know-how, skills, experience or methodologies unless expressly agreed in writing.
Adsyntra remains free to use general knowledge, skills and experience acquired while providing Services, provided it does not disclose or misuse Client Confidential Information or Client-owned intellectual property.
36. EMPLOYEES AND CONTRACTORS
Adsyntra may use authorised employees, freelancers, specialists or contractors to assist with Services.
Where such persons contribute to Deliverables, Adsyntra shall seek to maintain appropriate contractual arrangements regarding confidentiality and intellectual-property rights consistent with the relevant engagement.
37. CLIENT MODIFICATIONS
After ownership of an eligible final Deliverable transfers to the Client, the Client may generally modify that Deliverable for its own legitimate business purposes, subject to:
- third-party licences;
- Adsyntra Background IP restrictions;
- software licence requirements;
- applicable law; and
- the applicable SOW.
Adsyntra is not responsible for defects, security problems or performance issues caused by modifications made by the Client or unrelated third parties after delivery, except where otherwise agreed.
38. RESALE AND SUBLICENSING
Ownership of a Client-specific final Deliverable does not automatically grant the Client rights to commercially resell Adsyntra Background IP embedded within that Deliverable.
Where the Client intends to:
- white-label a system;
- resell a Deliverable;
- sublicense software;
- commercially distribute templates;
- provide the system to multiple third-party businesses; or
- incorporate the Deliverable into a commercial product,
such rights should be expressly agreed in the SOW.
39. WHITE-LABEL PROJECTS
White-label arrangements require specific written terms.
Unless expressly stated in writing, a standard Client engagement does not automatically include:
- resale rights;
- sublicensing rights;
- unlimited redistribution rights;
- white-label rights; or
- rights to represent Adsyntra Background IP as independently developed by the Client.
40. INTELLECTUAL-PROPERTY INFRINGEMENT CLAIMS
If a Party becomes aware of a credible claim that a Deliverable or supplied material infringes third-party intellectual-property rights, that Party should notify the other Party promptly.
The Parties shall reasonably cooperate in investigating the issue.
Where the claim concerns Client Materials, the Client shall remain responsible to the extent provided in the applicable MSA.
Where the claim concerns original material supplied by Adsyntra, responsibility shall be determined under the applicable MSA, SOW and law.
41. TAKEDOWN REQUESTS
A person who reasonably believes that content appearing on Adsyntra's website or systems infringes their intellectual-property rights may contact:
A request should preferably include:
- identification of the rights holder;
- description of the protected work;
- identification of the allegedly infringing material;
- location of the relevant material;
- explanation of the claimed infringement;
- contact information; and
- supporting documentation where appropriate.
Adsyntra may investigate credible requests and take reasonable action where warranted.
Submitting a request does not guarantee removal where Adsyntra reasonably determines that the content is authorised, lawful or otherwise protected.
42. FALSE OR ABUSIVE CLAIMS
Users should not knowingly submit fraudulent, misleading or abusive intellectual-property complaints.
Adsyntra may reject unsupported or abusive requests and may take appropriate action where misuse causes legal or operational harm.
43. DOMAIN NAMES AND HOSTING
Ownership of domain names and hosting accounts shall depend on how they are purchased and documented.
Where possible, Client-specific domains intended to belong to the Client should be registered in or transferred to an account controlled by the Client.
If Adsyntra temporarily manages a Client domain or hosting account, ownership and transfer arrangements should be documented in the applicable SOW.
Third-party provider terms continue to apply.
44. SOCIAL-MEDIA AND ADVERTISING ACCOUNTS
Where possible, Client-specific:
- Meta Business accounts;
- Google Ads accounts;
- social-media profiles;
- analytics properties; and
- similar business accounts
should remain under Client ownership/control, with Adsyntra receiving authorised access.
Adsyntra's access to such accounts does not give Adsyntra ownership of the Client's account.
Similarly, the Client does not acquire ownership of Adsyntra-owned agency accounts or internal systems merely because they are used during the engagement.
45. TERMINATION OF SERVICES
Termination of Services does not automatically alter existing intellectual-property ownership.
Upon termination:
- Client Materials remain Client property;
- Adsyntra Background IP remains Adsyntra property;
- validly transferred Client-Specific Deliverables remain with the Client;
- outstanding Deliverables remain subject to applicable payment terms;
- third-party IP remains subject to third-party licences; and
- confidentiality obligations continue as applicable.
46. OUTSTANDING PAYMENTS
Where payment remains outstanding for a Deliverable whose ownership is contractually conditioned on full payment, ownership shall not transfer until the applicable amount is paid, subject to applicable law and the relevant agreement.
This does not authorise Adsyntra to unlawfully interfere with property or rights already owned by the Client.
47. NO IMPLIED RIGHTS
No intellectual-property right, licence or ownership interest is granted by implication merely because:
- information is disclosed;
- Services are provided;
- a Deliverable is demonstrated;
- account access is granted;
- a meeting occurs; or
- a business relationship exists.
Rights are granted only as expressly stated in the applicable agreement or as required by law.
48. MORAL RIGHTS AND ATTRIBUTION
Where moral rights or attribution rights exist and cannot legally be assigned or waived, those rights shall remain subject to applicable law.
Where legally permissible and commercially necessary, specific consents or waivers may be addressed in the applicable SOW or assignment document.
49. INTELLECTUAL-PROPERTY ASSIGNMENTS
Where a project requires formal assignment of intellectual property beyond the standard ownership provisions of the MSA/SOW, the Parties may execute a separate written IP Assignment Agreement.
Any assignment should clearly identify:
- the relevant Deliverable;
- rights being transferred;
- effective transfer date;
- payment conditions;
- excluded Background IP; and
- applicable third-party components.
50. CHANGES TO THIS POLICY
Adsyntra may update this Policy to reflect:
- changes in Services;
- changes in technology;
- changes in intellectual-property law;
- changes in business practices; or
- other legitimate requirements.
Material changes shall apply prospectively where required by applicable contractual or legal obligations.
Client-specific rights already granted under a signed agreement shall not be retroactively removed merely through an update to this website Policy where doing so would be inconsistent with the applicable contract or law.
51. GOVERNING FRAMEWORK
This Policy shall be interpreted in accordance with the applicable agreements between Adsyntra and the Client and, where relevant, the laws applicable to the relevant intellectual-property rights.
Where a Client agreement provides for Indian law, that contractual choice shall apply subject to mandatory laws and jurisdiction-specific intellectual-property rights that cannot be excluded.
